SELLER TERMS & CONDITIONS — LUZZAN PVT LTD

These Seller Terms & Conditions (“Terms”) govern the relationship between LUZZAN Pvt Ltd (“LUZZAN”, “we”, “our”, “us”) and any individual or entity registering as a seller on the LUZZAN platform (mobile app or website).

By registering, listing products, or selling through LUZZAN, you agree to these Terms.

1. Seller Eligibility & Registration

1. Sellers must be legally eligible to conduct business in India.

2. Sellers must provide accurate and complete business information during onboarding.

3. LUZZAN reserves the right to approve, reject, suspend, or terminate seller accounts at its discretion.

4. Submission of false or misleading information may result in immediate termination.

2. Product Listings & Content

1. Sellers are responsible for the accuracy of:

   • Product descriptions

   • Images and videos

   • Pricing and inventory

2. All products listed must be:

   • Authentic and legally sourced

   • Free from counterfeit or prohibited materials

3. Misleading images, false claims, or copyright violations are strictly prohibited.

4. LUZZAN reserves the right to remove or modify any listing that violates platform policies.

3. Pricing & Commissions

1. Sellers set their own product prices.

2. LUZZAN may charge:

   • Platform commission

   • Service fees

   • Logistics or promotional charges (if applicable)

3. Applicable fees and commissions will be communicated separately and may change with prior notice.

4. Orders & Fulfillment

1. Sellers must:

   • Accept and process orders promptly

   • Pack products securely, especially jewellery items

   • Dispatch orders within agreed timelines

2. Failure to fulfill orders may result in penalties, reduced visibility, or suspension.

3. Sellers are responsible for product quality until successful delivery.

5. Shipping & Delivery

1. LUZZAN may facilitate delivery through partnered logistics providers.

2. Sellers must cooperate with delivery partners for smooth fulfillment.

3. Delays caused by seller-side issues may attract penalties.

4. LUZZAN is not responsible for courier delays beyond reasonable control.

6. Returns, Refunds & Disputes

1. Sellers must honor LUZZAN’s return and refund policies.

2. Returned products must be inspected upon receipt.

3. Refunds due to:

   • Defective products

   • Incorrect items

   • Seller fault
     shall be borne by the seller.

4. LUZZAN’s decision in dispute resolution shall be final and binding.

7. Payments & Settlements

1. Seller payouts will be processed after:

   • Successful delivery

   • Return window closure

2. Settlement cycles and deductions will be communicated separately.

3. Sellers must provide valid bank details for payouts.

4. LUZZAN is not responsible for payout delays caused by incorrect banking information.

8. Taxes & Compliance

1. Sellers are solely responsible for:

   • GST compliance

   • Invoicing

   • Income tax obligations

2. LUZZAN may deduct or collect taxes as required by law.

3. Sellers must comply with all applicable Indian laws and regulations.

9. Intellectual Property

1. Sellers retain ownership of their brand and product content.

2. By listing on LUZZAN, sellers grant LUZZAN a non-exclusive, royalty-free license to use:

   • Product images

   • Brand name

   • Descriptions
     for marketing and platform operations.

3. Sellers must not infringe third-party intellectual property rights.

10. Prohibited Activities

Sellers must not:

• Sell counterfeit or illegal products

• Misuse customer data

• Manipulate ratings or reviews

• Engage in fraudulent transactions

• Circumvent LUZZAN systems or fees

Violation may result in immediate termination and legal action.

11. Suspension & Termination

1. LUZZAN may suspend or terminate seller accounts for:

   • Policy violations

   • Fraud or misuse

   • Legal or compliance risks

2. Upon termination:

   • Active listings may be removed

   • Pending settlements may be held until disputes are resolved

12. Limitation of Liability

LUZZAN is not liable for:

• Business losses or lost profits

• Seller inventory damage outside platform control

• Courier delays or failures

• Technical outages beyond reasonable control

13. Confidentiality & Data Protection

1. Sellers must keep platform data confidential.

2. Access to customer information is limited to order fulfillment purposes only.

3. Misuse of data may result in legal action.

14. Amendments

LUZZAN may update these Terms at any time.
Continued use of the platform constitutes acceptance of revised Terms.

15. Governing Law & Jurisdiction

These Terms are governed by the laws of India.
Any disputes shall be subject to the jurisdiction of courts in Nagpur, Maharashtra.
